On October 31st, Amec – the Association of Capital Market Investors – published a Notice to the Market calling the attention of the capital market’s participants, companies and regulators to problems its members have been experiencing related to the contracting, retention and compensation of senior executives.
The topic has been broadly discussed in international debates about governance, activism and the capital markets, but not in Brazil, where it has been addressed only on a superficial basis. The change in the posture of a significant number of investors, the rejection of proposals in some companies, the bold initiative of the Brazilian Securities and Exchange Commission – CVM – in regulating the matter and the vision of the Brazilian Stock Exchange – BM&FBOVESPA – as to addressing it from different points of views in the new rules of the Novo Mercado show that the topic is here to stay.
On the same date, Amec announced a Workshop to discuss the topic, to be held on November 17th. The following speakers have already confirmed their presence: Maria Francisca Vicente, Glass Lewis; Alexandre Silva, Coordinator of the Committee of People and Compensation at Fibria SA; Luciana Dias, former CVM Director; Fernando Tendolini, Manager at SulAmérica Investimentos; Oscar Malvesi, FGV; Felipe Rebelli, WillisTowersWatson; and Jacques Sarfaty, Russell Reynolds. Investors, companies, regulators and subject matter specialists will be present in this debate that is absolutely essential for the next years in Brazil.
