Amec has submitted to the two largest proxy advisory companies – the Institutional Shareholder Services (ISS) and Glass Lewis & Co., letters with suggestions on adjustments on their voting policies based on the Brazilian reality. The association has also put itself at their disposal for a clear and continuous communication with a view to maintaining them informed of the specific characteristics of the domestic market.
After a detailed analysis of the two companies’ voting policies and an internal debate about the most critical points in the opinion of institutional investors, Amec listed each item in the letters, including, among others, the concept of independent members, conflict of interests, management compensation, accounts analyses, and nomination of candidates to boards of directors.
