Amec discusses rights and duties of shareholders and companies in its 6th seminar

Amec (the Association of Capital Market Investors) will be holding Amec 6th Seminar on the topic “Corporate Democracy – Rights and Duties of Shareholders and Companies,” in São Paulo, on October 29th, 2013. Lectures will have an innovative and interactive format and be focused on the best practices used by companies in their communications with the market, from the disclosure of results in Shareholders’ Meetings to the ways corporations have been dealing with the changes in shareholders’ behavior. The event will count on the participation of international speakers who will be addressing activism stories from all over the world and their lessons for the Brazilian market.
The event, marked by Amec Corporate Events Award, will count on a presentation of cases of companies that transformed their Shareholders’ Meetings into relevant events, going beyond the law and carrying out, on a voluntary basis, actions that facilitate their shareholders’ lives. The first edition of the award was in 2012, at which time Valid was the winner. “This award was the way Amec found to encourage good practices,” states Mauro Rodrigues da Cunha, CEO of the entity.
The seminar will include a discussion about the adoption of IFRS (International Financial Reporting Standards) in the country and its positive and negative impacts. The regulatory progress about the disclosure will be another subject to be addressed, including the recent initiatives about transactions with related parties and the difficulties in accessing corporate information, such as the records and decisions taken in Shareholders’ Meetings.
Also about regulatory aspects, the seminar will be discussing the distance voting process. Regulated in 2010, the topic was extensively debated by Amec, which submitted a number of suggestions to enhance Shareholders’ Meetings in the country, including their adjustment to the international practices. During the event, participants will be debating how the regulatory entity has been evolving regarding this topic and the changes this progress will bring to Shareholders’ Meetings in the future. The seminar will be also addressing Amec’s study on the absenteeism issue in Brazilian Shareholders’ Meetings and which factors have been preventing this problem from being solved.
Foreign investors and ADRs’ depositaries will be talking about the difficulties faced by foreign shareholders of Brazilian companies. One of the panels will be addressing the regulatory aspects and the self-regulatory process of pension and investment funds, their results and what is possible to be done in this sense. Another panel will be focused on insider trading and its negative impacts on the market. Considered a crime in the country since 2001, it is seen as an existing problem by the market.
During Amec 6th Seminar, participants will have the opportunity to have one-on-one meetings with João Nogueira Batista, CEO of the Brazilian Takeover Panel (CAF). CAF is the result of an effort towards the self-regulation of the market to establish, in Brazil, an entity that gathers specialization, promptness and accuracy in decisions related to public tender offers and corporate restructurings involving Brazilian publicly-held companies.
